Securities and Exchange Board of India (Issue of Capital and Disclosure Requirements) (Second Amendment) Regulations, 2022
The amendment provides following timeline for commencement of previous amendment to ICDR Regulations: (a) for public issues of a size less than ₹10,000 crore and opening on or after April 1, 2022; with effect from April 1, 2022;
(b) for public issues of a size equal to or more than ₹10,000 crore and opening on or after April 1,
2022; with effect from July 1, 2022.
SEBI issues master circular on Infrastructure Investment Trusts (InvITs).
The Master Circular is a compilation of relevant circulars issued by SEBI up to March 31, 2022 which are operational as on date of this circular. Circulars providing temporary relaxations with regards to certain compliance requirements for InvITs in the wake of the COVID-19 pandemic has not been included in the master circular.
Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) (Fourth Amendment) Regulations, 2022
The amendment provides the documents to be submitted in case of transmission of securities, where the securities are held in single name with
nomination.
The Securities and Exchange Board of India (Custodian) (Amendment) Regulations, 2022
The amendment provides that a custodian holding a certificate of registration as on the date of commencement of the Securities and Exchange Board of India (Custodian) (Amendment) Regulations, 2022, may provide custodial services in respect of silver or silver related instruments held by a mutual fund only after taking prior approval of the Board.
SEBI streamlines the process of public issues and redressal of investor grievances.
SEBI notifies a new reporting format for capturing the data of all ASBA (Application Supported by Block Amount) applications unblocked by SCSBs (Self Certified Syndicate Banks) and their corresponding date of actual unblock. This new format has been put in place after reviewing the performance of SCSBs on timely unblocking of application amounts and feedback received from market intermediaries.
SEBI issues operational guidelines for Security and Covenant Monitoring using Distributed Ledger Technology .
In order to ensure the uniqueness of the assets of the issuer offered as security, appropriate validation/ duplicate checks based on parameters identified for each asset type have been put in place in the system. Also, debenture trustees, on a yearly basis, shall reconcile and eliminate duplicate entries for an asset in the system.
IFSCA recognizes mobile equipment used for ground handling, servicing or field maintenance of aircraft as financial product
Any piece of mobile equipment, whether or not powered or self-propelled, purpose designed built and used for ground handling, servicing or field maintenance of aircraft on the ramp area of an airport and equipment used for providing services necessary for ramp handling.
The Securities and Exchange Board of India (Issue and Listing of Non-Convertible Securities) (Amendment) Regulations, 2022.
The issuer shall ensure that the secured debt securities are secured by hundred percent security cover or higher security cover as per the terms of the offer document and/or Debenture Trust Deed, sufficient to discharge the principal amount and the interest thereon at all times for the issued debt securities.
Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) (Third Amendment) Regulations, 2022
The amendment provides that In respect of its secured listed non-convertible debt securities, the listed entity shall maintain hundred percent security cover or higher security cover as per the terms of offer document/Information Memorandum and/or Debenture Trust Deed, sufficient to discharge the principal amount at all times for the non-convertible debt securities issued.
Securities and Exchange Board of India (Debenture Trustees) (Amendment) Regulations, 2022
The debenture trustees shall on a Quarterly basis-(a)carry out the necessary due diligence and monitor the security cover.
