MCA grants relaxation in additional fees for delay in filing form 11 by LLP upto 30th June 2022.
LLP Annual Return Form-11 is basic annual return that businesses having LLP registration need to mandatorily file. The annual return form-11 is also compulsory to file even if the firm doesn’t operate or carry out any business during the financial year.

Securities and Exchange Board of India (Collective Investment Schemes) (Amendment) Regulations, 2022
The amendment provides that no Collective Investment Management Company or a promoter of a Collective Investment Management Company, their associates or group companies, through the schemes of the Collective Investment Management Company or otherwise, individually or collectively, directly or indirectly, have Ten percent or more of the shareholding or voting rights in the Collective Investment Management Company or the trustee company of any other Collective Investment Management Company.
Guidelines for Determination of Tariff by Bidding Process for Procurement of Power by Distribution Licensees
The escalation rates for inland transportation charges for coal up to 2000 Km distance shall be 32.50%. These Annual Escalation Rates shall be applicable for the period from 01.04.2021 to 30.09.2021 for the purpose of payment for Procurement of Power by Distribution Licensees as per the Power Purchase Agreement entered into under the guidelines.
MCA issues clarification on holding of AGM through Video Conference or Other Audio-Visual Means.
The MCA further clarified that this circular should not be construed as conferring any extension of time for holding annual general meetings by the companies under the Companies Act, 2013 and the companies which have not adhered to the relevant timelines shall be liable to legal action under the appropriate provisions of the Companies Act.

Companies (Prospectus and Allotment of Securities) Amendment Rules, 2022
The amendment provides that no offer or invitation of offer for purchase of any securities shall be made to a body corporate incorporated in, or a national of, a country which shares a land border with India, unless such body corporate or the national, as the case may be, have obtained Government approval under the Foreign Exchange Management (Non-debt Instruments) Rules, 2019 and attached the same
with the private placement offer cum application letter.

The amendment has revised Form No.SH-4 used for reporting transfer of shares.
