MCA notifies update on MCA21 version 3.
Nine company forms (CHG-1, CHG-4, CHG-6, CHG-8, CHG-9, DIR-3 KYC, DIR-3 KYC WEB, DPT-3 and DPT-4) has been scheduled to go-live from 1st September 2022. Remaining company forms and other modules like e-Adjudication, Compliance Management System are scheduled to be fully deployed within this Calendar Year.
Companies Incorporation (Third Amendment) Rules, 2022
On completion of verification, a report shall be prepared containing basic information about the Company, details of the Registrar visit and about witnesses to the verification along with a photograph of the location.
The Companies (Accounts) Fourth Amendment Rules, 2022.
The amendment is brought under rule, 3 which deals with manner of books of accounts to be kept in electronic mode in which the books of account and other relevant books and papers maintained in electronic mode shall remain accessible in India, at all times so as to be usable for subsequent reference.

Where the Registrar, on examining the application made in Form STK-2, finds that it is necessary to call for further information or finds such application or any document annexed therewith is defective or incomplete in any respect, he shall inform to the applicant to remove the defects and re-submit the complete Form within fifteen days from the date of such information, failing which the Registrar shall treat the Form as invalid in the electronic record, and shall inform the applicant, accordingly
Companies (Appointment and Qualification of Directors) Amendment Rules, 2022
The amendment provides that no application number shall be generated in case of the person applying for Director Identification Number is a national of a country which shares land border with India, unless necessary security clearance from the Ministry of Home Affairs, Government of India
has been attached along with application for Director Identification Number.
Companies (Accounts) Third Amendment Rules, 2022
The amendment provides that for the financial year 2021-2022, Form CSR-2 shall be filed separately on or before 31st March, 2023 after filing Form AOC-4 or AOC-4 XBRL or AOC-4 NBFC (Ind AS), as the case may be.
MCA waives late fees for filing various LLP e-forms.
The Ministry has decided to allow LLPs to file various event-based LLP e-Forms, due dates which are falling between 25th February 2022 and 31st May 2022, without paying additional fees up to 30th June 2022.
Companies (Compromises, Arrangements and Amalgamations) Amendment Rules, 2022
The amendment provides that in case of a compromise or an arrangement or merger or demerger between an Indian company and a company or body corporate which has been incorporated in a country which shares land border with India, a declaration in Form No. CAA-16 shall be submitted along with the application.
