The Ministry of Corporate Affairs notified the second amendment to the Companies (Significant Beneficial Owners) Rules, 2018 on 01 July 2019. The amendment is made through substitution of Form No BEN-2, which was earlier notified by the MCA vide Companies (Significant Beneficial Owners) Rules, 2018.
The following change has been brought into the revised Form BEN -2 by the regulator:
1. A table has been inserted for entering the number of members through whom indirect holding or right in reporting company is being exercised by each Significant Beneficial Owner [‘SBO’]. A provision to add upto nine SBOs are provided.
2. A new field for ID of an SBO is provided in the details of member section of the form, for each SBO, with a pre-fill option. In the earlier BEN -2 the option of entering the ID of an SBO was available only if the purpose of filing the Form is chosen as radio button No 2 where the change in significant beneficial ownership is being reported in BEN-2.
Form BEN-2 has been deployed on the MCA and is available for e-filing.
