BSE notifies Additional affirmations by Practicing Company Secretaries in Annual Secretarial Compliance Report

The Bombay Stock Exchange (BSE) has notified additional affirmations to be made by Practicing Company Secretaries (PCS) In Annual Secretarial Compliance Report (ASCR). This notification was issued on 16th March, 2023 and will be effective from the financial year ending on March 31, 2023, onwards.

It may be recalled that Securities and Exchange Board of India (SEBI) had issued a Circular dated 8th February, 2019, stipulating the format of ASCR for listed entities and their material subsidiaries. This was effective from 31st March, 2019, onwards.

The ASCR is to be filed on annual basis by PCS confirming the compliances of all SEBI Regulations, Circulars and Guidelines. Based on various discussions with SEBI, it has now prescribed for additional affirmations to be provided while submitting the ASCR. Further, Additional columns have been inserted in the format of ASCR.
